01 Acceptance of terms

These Terms & Conditions ("Terms") govern your access to and use of the Kai application and services (the "Service"), operated by Kaius, Inc ("Kai," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

02 Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using Kai you represent that you meet these requirements and that the information you provide is accurate.

03 Your account

You are responsible for the activity that happens under your account and for keeping your credentials secure. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

04 Quests & submissions

Kai surfaces side quests you can choose to complete by capturing and submitting photos, video, or other content. You are responsible for completing quests lawfully and safely, and for ensuring you have the right to capture and submit any content, including the consent of anyone who appears in it.

We may accept, reject, or remove submissions at our discretion, including content that is unsafe, unlawful, fraudulent, or that does not meet quest requirements. After you submit a quest, we review it to confirm it meets the quest's requirements and our guidelines, and to detect fraud or manipulated content. We may approve it, ask you to resubmit, or reject it. Approved quests are credited with the stated reward, usually within a few days. If you believe a submission was wrongly rejected, you can ask us to re-review it by contacting hello@app-kai.com; our decision on eligibility and rewards is final.

05 Rewards, coins & gift cards

Completing eligible quests may earn rewards such as in-app coins, gift cards, or other items. Rewards have no cash value except where required by law, are non-transferable, and may expire or change. Each quest shows the reward you can earn and any conditions for earning it, and rewards are credited only after your submission is approved. Coins and gift cards may have minimum redemption thresholds, and rewards may expire if your account is inactive for an extended period or if you violate these Terms. We may change available rewards and their values at any time. You are responsible for any taxes on the rewards you earn, and we may require valid tax information before issuing certain payouts.

We may withhold or revoke rewards obtained through fraud, automation, or violation of these Terms.

06 License to your content

You retain ownership of the content you submit. By submitting content, you grant Kai and the relevant quest sponsor a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, use, reproduce, modify, adapt, publish, distribute, and display that content in connection with operating, promoting, and improving Kai and the sponsor's related marketing, across any media. Where a specific quest grants the sponsor broader or different rights, those additional terms will be disclosed in the quest before you submit. You represent that you have all rights and permissions — including from anyone appearing in your content — needed to grant this license. The license continues for content you have already submitted even if you later close your account, subject to our retention practices.

07 Acceptable use

You agree not to:

  • Break the law or put yourself or others at risk while completing quests.
  • Submit content you do not have the rights to, or that infringes others' rights.
  • Use bots, scripts, or deceptive means to complete quests or earn rewards.
  • Harass, threaten, or harm others, or capture people without appropriate consent.
  • Interfere with, reverse-engineer, or disrupt the Service.

08 Intellectual property

The Service, including the Kai name, logo, and all related software and design, is owned by Kaius, Inc and protected by intellectual-property laws. These Terms do not grant you any rights to our trademarks or branding.

09 Disclaimers

The Service and all content and rewards are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that quests or rewards will always be available, or that any defects will be corrected. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

10 Limitation of liability

To the maximum extent permitted by law, Kaius, Inc and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of (a) the total rewards paid to you in the three months before the event giving rise to the claim, or (b) US $100. You agree to indemnify and hold Kaius, Inc harmless from claims arising out of your content, your completion of quests, or your violation of these Terms or applicable law. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

11 Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Certain provisions survive termination, including ownership, disclaimers, and limitations of liability.

12 Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Delaware, except that either party may bring an individual claim in small-claims court. You and Kaius, Inc waive any right to a jury trial and to participate in a class, collective, or representative action; if the class-action waiver is found unenforceable, the rest of this section still applies. You may opt out of arbitration within 30 days of first accepting these Terms by emailing hello@app-kai.com.

13 Changes to these terms

We may update these Terms from time to time. We will post the revised version with a new "Last updated" date and, where required, provide additional notice. Your continued use of the Service after changes take effect means you accept the updated Terms.
